END USER LICENSE AGREEMENT

Preamble

The information includes important information regarding service usage conditions provided through www.meducoach.com (referred as “Meducoach”) or other download platforms by KISMITS, Co., Ltd. (referred as “KISMITS). The conditions are for the license user (referred as “user”) who can explicitly use under his own account within the regulations. According to the regulations the essential functions and costs of the website or application (referred as “software”) can be seen before placing the order on the website, and some functions can be pre-accessed.

1. The Purpose of Contract

The purpose of the contract is to decide the user’s usage conditions regarding the software that can be accessed through websites or other download platforms.

The user read the document that can be freely accessible by Meducoach, understood the usage information and service or content, and closely examined the functions of the software.

Meducoach includes information that is of interest in a typical manual and cannot be replaced or assimilated by legal or medical advice. Meducoach includes information regarding various health and medical educational data and information about the body on a regular basis. This information does not replace the advices of medical educators, doctors, or other medical experts. As medical experts or students in the medical field, users should use their own discretion to evaluate the reliability of the information of the problem. KISMITS strongly recommends all users to refer to other sources to verify the information of Meducoach. The information included here cannot be used to diagnose and inspect diseases. Furthermore, the medical expert and patient relationship between the user and KISMITS does not form by using the Meducoach.

2. Software Order

The user must follow the designated steps in the website order to order the software. However, the subscriptions of a corporation or group can be ordered separately, or can be contracted by following different steps.

The user can access the subscription link on each page of the software. After clicking subscription, the page moves to the order form of the software that the user chose. The user can verify the parts of the order and can identify and correct errors in necessary. The order can be cancelled until validity is checked. The order form includes the liability to pay the noticed price. The user checks the order and follows the guidelines of the payment server allowed by the website. After payment, the user is moved to the account page of the website and receives the order number and the order checklist that includes the paid price electronically without halt. The user later can access the ordered software through his account.

3. Cost

Software is provided by a valid cost expressed by US dollars or the local currency, and considers the VAT that can be applied on the day of purchase. VAT can be applied to software subscription or payment costs. Subscription of the software of purchase costs may be modified without prior notice. However, if the contract is already expired, the cost does not change during the contract period.

All orders on the website are made through credit card (VISA, MASTERCARD or AMEX) or through Paypal.

The promise to purchase through cannot be voided. However, by column 4, the user can withdraw the order. The user grants KISMITS permission to withdraw all order amount by handing the relevant information regrading the credit card. If the order amount cannot be paid, the order is automatically cancelled.

4. Withdrawal

The user can withdraw order from KISMITS with providing any reasons. The user can exercise the rights by following the refund policy stated below.

4-1. Less than 3 months of service use
(i) Within 14 days from order date: full amount
(ii) Before 1/2 of entire usage period from order date: paid amount minus the 1/2 of the amount of the standard amount
(iii) After 1/2 of entire usage period: no refund

4-2. More than 3 months of service use
(i) Within 30 days from order date: full amount
(ii) After 30 days: paid amount minus the standard amount until the refund claim occurred
(iii) After 2/3 of total service use: no refund

The free trial period given by KISMITS discounted amount form the standard payment is not applicable for refund. If the user or the using corporation violates the using company’s related regulations, the refund policy does not apply. If there is a financial fee that occurs during the refund process, at most 10% of the paid amount can be deducted and refunded.

If a corporation uses the software or the software is commercially used, refund policies may differ depending on extra contracts.

The user notifies KISMITS through written allegation through the following email address [email protected]. The confirm receipt of the withdrawal request is sent through email as fast as possible.

KISMITS repays all payments that are have received a withdrawal request within 5 business days or 120 hours.

5. Access to Software

The access to software is activated after the order is confirmed and the payment is placed under the designated conditions. The user can access the software by using the login and password issued by the license manager.

6. Given Rights

During the contract period, KISMITS grants users software that is for personal use and is non-exclusive, inalienable, not assignable, and voidable. If a corporation uses the software it must have a separate license contract with the interested parties. Allowed use includes using the software from the website or downloading the software in a single mobile device (tablet or phone). The license does not allow the user granting a second license.

7. Access and Renewal

Access to software begins from the day the user made the payment. KISMITS reserves the rights to modify the cost and access conditions. If the contract is on renewal or a new contract is being made, it explains the new cost to the users.

8. IMAIOS Site and Software Availability

KISMITS will always strive to maintain continuous access to software. The user acknowledges and agrees that access to software can temporarily cease or be limited at any time in order for KISMITS to control, modify, update an uncontrollable or unexpected situation of the software. The temporary suspension or access restriction does not lead to the termination of contract or reduction of cost.

10. Liability of User

The user is prohibited from personalizing, modifying, translating, altering in any way Meducoach software or parts or whole website. The user is prohibited from preparing or creating software derivative work. The user indemnifies KISMITS from not following the license conditions of software usage. If the user violates the contract KISMITS may not renewal the contract period and terminate the user’s access of the software or terminate the contract at any cost.

11. Meducoach Terms of Use and Privacy Policy

By using the software, the user accepts the Terms of Use provided by Meducoach and the Privacy Policy. If a general terms of use and the current contract is at odds with each other, the latter is the priority.

12. Liability and Warranty Limitation

KISMITS strives to pay close attention to the quality of information provided by the software and update on a regular basis. However, the software may display errors, inaccurate information, or missing data that is out of the control of KISTMITS. The user takes full responsibility use the information that is given to him. The software is provided “as it is” without any warranty. The use of software is the sole responsibility of the license user.

Ultimately KISMITS, partner, workers or other related personnel regarding the creation and operation of the software does not bear responsibility regarding all indirect and direct loss caused by the access or usage. Each personnel has the ability and the right to sign the contract. Each individual purchase is contracted by the personnel’s worker or representative who has full rights to confine the users into the conditions of the contract.

13. Termination

If one of the obligations of the contract is not fulfilled, the contract can be terminated without legal for my sacrificing the victim. To inform the termination, an email or a registered mail should be sent. If the user violates the obligations there is no refund for the remaining period of the subscription.

14. Litigation and Arbitration

The dispute regarding the validity, interpretation, fulfillment or non-fulfillment, termination of the contract can be submitted to the arbitrary council at the user’s request. Both parties can freely submit the dispute under the range of the relevant legal regulation to the jury.

15. Miscellaneous

The contract has to be enforceable and enjoys the interests of the relevant owner. KISMITS does not transfer the rights, liabilities, and privileges caused by certain regulations, unless the user agreed in written form.

The contract and its interpretation is under the Korean law and both parties agree on the exclusive jurisdiction of the Korean court. All disputes are referred to the Korean court. This statement applies to appeals, guarantees, and multiple defendants.

If a dispute occurs regarding the application of the final user license contract or the natural man or corporation site usage, there is a mutual agreement that the Korean court as the sole jurisdiction even if there are multiple defendants.
